Please read these Terms of Use ("Terms") carefully before using Postphoria ("Platform," "Service") operated by Postphoria ("Company," "we," "us," or "our").

By accessing or using Postphoria at postphoria.com, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using Postphoria, you represent that you are at least 16 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

Postphoria is a social media management platform that allows users to schedule, publish, and analyze content across multiple social media networks, collaborate with team members, manage media assets, and leverage AI-powered content tools. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at [email protected] of any unauthorized use of your account.
• We reserve the right to terminate accounts that violate these Terms.

4. Subscriptions and Billing

4.1 Plans

Postphoria offers various subscription plans. Details of features and pricing are available on our pricing page. We reserve the right to change pricing with at least 30 days notice to existing subscribers.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis depending on your chosen plan.
• All payments are processed securely through third-party payment processors.
• You authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Refunds

We offer a 7-day money-back guarantee for new subscriptions. After this period, payments are non-refundable except where required by law. If you cancel mid-billing-cycle, you retain access until the end of the current period.

4.4 Free Trials

Free trials, where offered, automatically convert to paid subscriptions at the end of the trial period unless cancelled. No charge is made during the trial.

5. Acceptable Use Policy

You agree not to use Postphoria to:

• Violate any applicable laws, regulations, or third-party rights.
• Publish or schedule content that is unlawful, abusive, defamatory, obscene, or otherwise objectionable.
• Infringe on intellectual property rights of others.
• Send spam, unsolicited messages, or engage in phishing.
• Attempt to gain unauthorized access to any part of the Service or other users' accounts.
• Use automated means (bots, scrapers) to access the Platform without our express written consent.
• Interfere with or disrupt the integrity or performance of the Platform.
• Impersonate any person or entity or misrepresent your affiliation.
• Violate the terms of service of any connected social media platform.

6. User Content

6.1 Ownership

You retain full ownership of all content you create, upload, or publish through Postphoria ("User Content"). By using our Service, you grant Postphoria a limited, non-exclusive, royalty-free license to process, store, and transmit your User Content solely for the purpose of providing and improving the Service.

6.2 Content Responsibility

You are solely responsible for your User Content and the consequences of publishing it. We do not endorse any User Content and make no representations about its accuracy or quality.

6.3 Content Removal

We reserve the right to remove User Content that violates these Terms or applicable law, without notice.

7. Third-Party Social Media Platforms

Postphoria integrates with third-party social media platforms (e.g., Meta, X Corp, LinkedIn, TikTok, Google). Your use of these integrations is subject to the respective platform's terms and policies. Postphoria is not affiliated with or endorsed by these platforms. We are not responsible for changes in third-party APIs or service interruptions caused by third parties.

8. Intellectual Property

Postphoria and its licensors own all rights, title, and interest in and to the Platform, including all software, design, trademarks, logos, and content provided by us (excluding User Content). You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of our software.

9. Privacy

Your use of Postphoria is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described therein.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, POSTPHORIA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO POSTPHORIA IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Postphoria and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your account and access to the Service at our discretion, with or without cause, and with or without notice, if we determine that you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Platform at least 14 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Postphoria with respect to the Service.
